Background

This is a company that offers advanced image-based diagnostics, including a comprehensive approach to detect and treat leading causes of death e.g., various types of cancer. It uses a combination of advanced imaging, genomics, and non-invasive liquid biomarkers.

The company's goal is to reduce the margin of error and ambiguity in current diagnostic protocols, and to provide patients and doctors with more robust risk assessments.

Challenges

Fundraising and mergers & acquisitions are commonplace in the healthcare industry. This warrants a secured, structured, and efficient solution to share sensitive company files with potential investors and external organizations. The customer was already using Microsoft 365 and was looking for an integrated solution to handle the following requirements:

  • Managing the due diligence process for M&A deals including readily available document templates for easy execution
  • Following M&A, an easy onboarding process for new employees with M365.
  • Seamless management of all documents (e.g., legal, financial etc.) with controlled sharing at a very granular level including banking institutions, investors, and M&A partners.
  • Ability to work with multiple orgs at the same time navigating their distinct security options.
  • Acquisition of other centers (e.g., radiologic center) involving sharing of sensitive documents
  • Bidirectional sharing of content with the investors VDR and navigating through specific banking firewalls and tools (e.g., Intralinks)
  • Ability to work with multiple organizations at the same time.
  • Custom functionalities needed during provisioning, user management and governance like form field narratives, on-screen pop-up messages, alerts, additional attributes, specific content structure and few others.
  • A relatively long-term responsive support mechanism to ensure smooth business operation without any hindrance due to technical issues.
  • Integrated with Okta for MFA.
  • Multi browser compatibility.

In nutshell, the challenge was to have a holistic solution based on M365 for easy provisioning of various workloads, governance, and secure collaboration supporting specific use cases for their operation especially during external sharing.

Solution

Netwoven undertook an in-depth study of the company’s data storage, collaboration and secured communication requirements along with the business processes associated with fund raising and M&A deal management practices.

Govern 365 is a Zero-Trust Secure Collaboration and Compliance platform for Microsoft 365 that protects sensitive information, while limiting future litigation and compliance exposure. In addition to using the standard functionalities of Govern 365, the following areas were customized to suit specific business needs of the organization. It was possible to be able to quickly accommodate these requirements since Govern 365 application is deeply configurable and easily customizable by design. The solution evolved around the following needs:

Repository

A detailed business process analysis was done, and the following categories were identified for structuring the document repository in SharePoint Online and Teams. A default folder structure was created within the workspace.

Company Overview
Organizational/Legal Structure
  • The operating Org/Legal structure was clearly identified.
  • All the legal entities and their relationship with each other were established
Business Overview
  • All business operations of the company were documented.
  • Allocation of all the professional & technical components were identified (there is more than one entity)

  • Compiled or audited income statements for last 3 years including gross revenue, net revenue, and major expense categories e.g., labor, supply, occupancy, marketing, medical services, operating (IT, multi-center management, etc.), and revenue cycle.

  • Cash flow statements for all three key sections i.e., operations, investments, and financing.

Forms and Templates

Workspace provisioning forms for SharePoint Online and Teams were tailored to be very organization oriented. For M&A, templates were created to capture information for historical financial due diligence. These included the Income Statement, Balance Sheet, Cash Flow Statement, Financial Ratios Analysis, Management Discussion and Analysis (MD&A), Notes to Financial Statements, and Auditor’s Reports.

  • Workspaces were clearly distinguished for Internal and external sharing with precise narratives describing their intended usage as appropriate for the business users.
  • Additional attributes
    • Deal Type as a drop-down (As a Service, JV, Acquisition) item was introduced to associate the workspace with specific category of deals.
    • Target Sector Location
    • Primary Target Contact – The person from the company that reaches out to business.

Licensing and Support

  • Govern 365 – Standard license was provided which would support up to 3000 named users.
  • “aaS” (As A Service”) was offered for 3 years which is a combined hosting and support service.
  • This included the following.
    • Data maintenance and backup
    • Support for the platform e.g., Microsoft Azure and Microsoft 365 Tenant
    • Commercially acceptable security mechanisms were implemented that included, but not limited to the following - Encryption (In-transit & at-rest) / Secure Key Management / Multi-Factor Authentication / API Endpoint Security / Logging & Monitoring with anomaly detection.
